In accordance with the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “Listing Rules”), the Articles of Association of AIA Group Limited (the “Company”) and the Companies Ordinance (Chapter 622 of the Laws of Hong Kong), the Company has adopted electronic dissemination for its Corporate CommunicationsNote 1 by making them available on the websites of the Company and the Hong Kong Exchanges and Clearing Limited (“HKEX”).
All Corporate Communications are disseminated electronically through: (1) the Company’s website at www.aia.com, which can be accessed by clicking ‘Hong Kong Stock Exchange Announcements’ in the ‘Investor Relations’ section; and (2) the HKEX’s website at www.hkexnews.hk. The Company only sends Corporate Communications (other than Actionable Corporate CommunicationsNote 2 ) to its shareholders upon request.
Pursuant to the Listing Rules, the Company is no longer required to notify its shareholders of the publication of Corporate Communications on the above websites. Shareholders are therefore advised to register for the ‘News Alerts’ service available under the ‘Market Data’ section of the HKEX’s website at www.hkex.com.hk in order to receive timely alerts on the publication of the Corporate Communications.
1. Registered Shareholders Note 3
The Company is required by the Listing Rules to send Actionable Corporate Communications to each of its shareholders individually.
In this regard, registered shareholders are asked to provide their email address for the purpose of receiving Actionable Corporate Communications in electronic form by completing the Reply Form below and returning it to the Company’s share registrar (the “Share Registrar”), Computershare Hong Kong Investor Services Limited, by post to 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wan Chai, Hong Kong or by email to aia.ecom@computershare.com.hk. It is the shareholders’ responsibility to ensure that the email address provided is valid and functional.
If registered shareholders have previously provided their email address to the Share Registrar, they are not required to provide their email address again unless they wish to make any update. In the case where the Company does not receive a valid and functional email address from them, it will send any future Actionable Corporate Communications in printed form to them by post at their address recorded in the Company’s register of members.
Certain Actionable Corporate Communications, due to their nature, can only be sent in printed form. Such documents will therefore be sent to the registered address of the registered shareholders by post, even if they have provided their email address for the purpose of receiving Actionable Corporate Communications in electronic form.
Registered shareholders who wish to receive the English and/or Chinese versions of the Corporate Communications (including Actionable Corporate Communications) in printed form can (a) complete and return the Reply Form below to the Share Registrar by post (to its address as stated above) or by email to aia.ecom@computershare.com.hk; or (b) send an email to aia.ecom@computershare.com.hk, specifying their name, address and request to receive the Corporate Communications in printed form. The printed version of the Corporate Communications will be sent to them free of charge upon receipt of their request in writing.
Any request to receive Corporate Communications in printed form will expire and cease to be valid one year after receipt by the Share Registrar, or such shorter period upon revocation of the request in writing or if superseded by a subsequent written request. If registered shareholders wish to continue to receive the Corporate Communications in printed form after the expiry of their original request, they are required to submit a fresh request to the Share Registrar.
Registered shareholders may also at any time change their choice of language and/or means of receipt of all future Corporate Communications by giving reasonable notice in writing to the Share Registrar.
In the case where registered shareholders have any difficulty in gaining access to the websites of the Company and the HKEX, the Company, upon their request to the Share Registrar by post or email (postal and email addresses as provided above), will send the printed or electronic version of the relevant Corporate Communications to them free of charge.
2. Non-registered Shareholders Note 4
Non-registered shareholders do not receive Actionable Corporate Communications directly from the Company. They should liaise with their bank(s), broker(s), custodian(s), nominee(s) or HKSCC Nominees Limited through which their shares are held (collectively, the “Intermediaries”) for the procedures of exercising their rights or making their election through their Intermediaries in respect of the corporate actions under the relevant Actionable Corporate Communications.
Non-registered shareholders who wish to receive the English and/or Chinese versions of the Corporate Communications in printed form can liaise with their Intermediaries. In addition, they should either (a) submit the Reply Form below to the Share Registrar by post (to its address as stated above) or by email to aia.ecom@computershare.com.hk; or (b) send an email to the Share Registrar at aia.ecom@computershare.com.hk, specifying their name, address and request to receive the Corporate Communications in printed form.
Any request to receive Corporate Communications in printed form will expire and cease to be valid one year after receipt by the Share Registrar, or such shorter period upon revocation of the request in writing or if superseded by a subsequent written request. Notes:
- “Corporate Communications” refer to any documents issued or to be issued by the Company for the information or action of holders of any of its securities, including but not limited to the annual report, interim report, notice of meeting, circular and proxy form.
- “Actionable Corporate Communications” are any Corporate Communications that seek instructions from holders of the Company’s securities on how they wish to exercise their rights or make an election as securities holders.
- “Registered shareholder” refers to a person who holds the Company’s shares in his/her/its own name and whose name appears on the register of members of the Company.
- “Non-registered shareholder” means such person or company whose shares in the Company are held in the Central Clearing and Settlement System and who has notified the Company from time to time through HKSCC Nominees Limited that he/she/it wishes to receive Corporate Communications.
